Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the PrivateCharterX websites, apps, communications channels, and related services (collectively, the “Platform”), and any charter, empty-leg, ground, or ancillary travel services arranged through PrivateCharterX LLC (“PrivateCharterX”, “PCX”, “we”, “us”, or “our”). By using the Platform or requesting, confirming, or paying for a booking, you (“User”, “Client”, “you”) agree to these Terms.

1. Who we are

PrivateCharterX LLC is a United States company with its principal place of business at Ocean Bank Building, 3rd Floor, 1000 Brickell Ave, Miami, FL 33131, United States. Contact: bookings@privatecharterx.com · (833) 200-2057.

PrivateCharterX is an arranger / broker of private aviation and related travel services. We are not an air carrier, aircraft operator, or Part 135 / Part 121 certificate holder. Flights are operated by independently licensed air carriers and operators (each, an “Operator”). Operational control, crew, maintenance, and carriage of passengers remain solely with the Operator under applicable aviation law.

2. Definitions

  • Booking means a confirmed charter or empty-leg arrangement accepted by PCX in writing (including email or Platform confirmation).
  • Quote / Offer means a non-binding price indication unless expressly stated as firm and still within its validity window.
  • Charter means on-demand private aircraft transportation arranged for the Client.
  • Empty Leg means a one-way positioning or ferry segment offered at a discounted fare subject to Operator availability and change.
  • Passenger means any person named to travel on a Booking, including you.

3. Scope of services

Subject to availability and Operator acceptance, PCX may arrange:

  • Private jet, turboprop, helicopter, and air-taxi charter
  • Empty-leg and one-way discounted segments
  • Multi-leg itineraries and group / corporate charter
  • Ancillary services such as ground transfers, catering coordination, and related travel logistics (often via third parties)

Service descriptions on the Platform are for information only. Aircraft types, cabin layouts, amenities, and schedules shown are illustrative and may be substituted as set out below.

4. Quotes, offers, and no contract until confirmation

Requests submitted via the Platform (including charter offer requests) do not create a binding contract. Quotes may change until a Booking is confirmed in writing by PCX and any required deposit or payment is received (or credit terms expressly agreed).

Prices may be affected by fuel, airport fees, handling, overflight / landing permits, de-icing, overnight / crew duty constraints, currency, taxes, VAT/GST where applicable, peak demand, and Operator availability. Unless stated otherwise, quotes exclude tip / gratuity and personal expenses.

PCX may decline any request or Booking at its sole discretion, including for safety, compliance, sanctions, credit, or operational reasons.

5. Booking process and passenger information

5.1 Formation

A contract for arranged services is formed only when PCX issues a written Booking confirmation referencing the itinerary, aircraft category or type (as agreed), price, payment terms, and cancellation terms. The Operator’s conditions of carriage and any Operator charter agreement may also apply and are incorporated by reference where provided.

5.2 Accuracy of information

You must provide complete and accurate passenger names (as on travel documents), dates of birth where required, contact details, passport / ID data for international flights, weights for weight-and-balance where requested, and any special requirements (mobility, medical, pets, firearms where lawful, etc.). You are responsible for delays or denied boarding arising from incomplete or incorrect data.

5.3 Travel documents and compliance

Passengers are solely responsible for valid passports, visas, immigration, customs, health, and other entry/exit requirements for every country on the itinerary. PCX does not guarantee entry or clearance.

5.4 KYC / AML

We may require identity verification, source-of-funds information, or other compliance checks before confirming or operating a Booking. Failure to cooperate may result in cancellation under the applicable fee schedule.

6. Pricing, taxes, and surcharges

The confirmed price is as stated in the Booking confirmation. Unless expressly fixed as “all-in”, additional amounts may apply for:

  • Fuel surcharges or fuel price adjustments after quote expiry
  • Airport, handling, ramp, slot, parking, and overnight charges
  • De-icing, weather holds, and extended ground time
  • Extra catering, ground transport, Wi-Fi, cabin upgrades, or special requests
  • Government taxes, VAT/GST, APD, and similar levies where applicable
  • International permits, customs fees, and extraordinary Operator costs

If an Operator increases recoverable costs after confirmation for reasons outside PCX’s control, we will notify you promptly; you may accept the adjustment or cancel subject to the cancellation terms then in force.

7. Payment

7.1 Methods

Payments may be accepted by bank transfer, card (including via Stripe), cryptocurrency (including via CoinGate), or other methods we approve. Processing fees, network fees, and FX conversion may be charged to you where disclosed or customary for the method.

7.2 Timing

Unless otherwise agreed in writing, full payment or a deposit as specified in the confirmation is due before flight. Late payment may result in automatic cancellation and fees.

7.3 Chargebacks and fraud

Unjustified chargebacks, payment disputes, or fraudulent transactions may result in Booking cancellation, account suspension, collection, and recovery of costs including attorneys’ fees to the extent permitted by law. Crypto payments are generally final once confirmed on-chain / by the processor.

7.4 B2B credit

Corporate / B2B Clients may be offered credit terms subject to approval. Invoices are due as stated. Overdue amounts may accrue interest and suspension of further bookings.

8. Changes, cancellation, no-show

8.1 Client-initiated changes

Date, route, aircraft, passenger, or timing changes are subject to Operator approval and may change price. Change fees may apply in addition to any fare difference.

8.2 Client cancellation

Cancellation fees are set out in the Booking confirmation or quote. If not specified, industry-typical private charter scales may apply (often escalating to a substantial percentage or full fare as departure approaches). Empty-leg cancellations may be non-refundable once confirmed. Always treat the written confirmation as controlling.

8.3 No-show

Failure of passengers to present themselves ready to board at the agreed FBO / meeting point within the Operator’s check-in window may be treated as a no-show with full fare forfeiture and recovery of related costs.

8.4 Operator / PCX changes

Schedules, aircraft, and routing may change for operational, crew duty, maintenance, ATM/ATC, airport, safety, or weather reasons. We will use reasonable efforts to notify you and arrange a comparable alternative. Remedies for material failure to perform are limited as set out in Section 13.

9. Empty legs

Empty legs are inherently contingent. They may be delayed, re-routed, aircraft-substituted, or cancelled if the Operator’s primary itinerary changes. Fares are typically non-refundable or more restrictive than full charter. Availability on the Platform is not a guarantee until Booking confirmation and payment.

10. Aircraft substitution

PCX and/or the Operator may substitute an aircraft of comparable category and safety standard if the planned aircraft becomes unavailable. Cabin configuration, amenities, Wi-Fi, and exact type may differ. A material downgrade may entitle you to remedies agreed in writing or a reasonable partial refund of the price difference; exact type matching is never guaranteed unless expressly contracted.

11. Passenger conduct, baggage, pets, and dangerous goods

  • Passengers must follow crew instructions and Operator policies at all times.
  • Baggage size, weight, and count are limited by aircraft performance and Operator rules. Soft bags are often preferred. Excess baggage may be refused or incur fees / delay.
  • Pets require prior written approval, health documentation, and may incur cleaning or handling fees. Acceptance is never automatic.
  • Dangerous goods, weapons, and restricted items are subject to aviation and criminal law. Undeclared hazardous materials may result in denied boarding, cancellation without refund, and liability for damages.
  • Smoking, vaping, and use of prohibited substances onboard may be forbidden by the Operator and applicable law.

12. Force majeure and operational disruption

Neither PCX nor the Operator is liable for failure or delay caused by events beyond reasonable control, including but not limited to severe weather, natural disasters, war, terrorism, civil unrest, sanctions, epidemic, government action, ATC strikes, airport closure, grounding orders, mechanical events discovered despite proper maintenance, or failure of third-party infrastructure. In such cases we will use reasonable efforts to assist with alternatives; refund and fee treatment follows the Booking confirmation and Operator rules.

13. Role, liability, and insurance

13.1 Broker / arranger

PCX’s role is to source, coordinate, and arrange charter services between you and Operators. Carriage is performed by the Operator. Claims arising from the flight itself (injury, delay, baggage, denied boarding, etc.) are generally directed to the Operator under applicable conventions, statutes, and conditions of carriage.

13.2 Limitation

To the fullest extent permitted by law, PCX’s aggregate liability arising out of or relating to the Platform or any Booking is limited to the fees actually paid to PCX for the specific Booking giving rise to the claim (excluding amounts passed through to Operators, airports, or third parties). PCX is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for loss of enjoyment, connections, business, or data, even if advised of the possibility.

13.3 No warranty of uninterrupted service

The Platform is provided “as is”. We do not warrant uninterrupted, error-free, or virus-free access, or that any displayed aircraft or empty leg will remain available.

13.4 Insurance

Operators maintain aviation insurance as required by law and their certificates. Clients and Passengers are strongly encouraged to obtain personal travel, medical, and trip-cancellation insurance. PCX does not sell insurance unless expressly stated in a separate agreement.

14. Indemnity

You agree to indemnify and hold harmless PrivateCharterX LLC and its officers, directors, employees, and agents from claims, losses, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, inaccurate passenger or payment data, passenger misconduct, unlawful cargo, or violation of law — except to the extent caused by PCX’s willful misconduct.

15. Platform use and intellectual property

The Platform, branding, content, logos, and software are owned by PCX or its licensors. You may use the Platform only for lawful booking and inquiry purposes. You may not scrape, reverse engineer, misuse APIs, interfere with security, or use the Platform for competitive intelligence in violation of law. We may suspend access for abuse, fraud, or risk.

16. Privacy

Personal data is processed as described in our Privacy Policy. By using the Platform you acknowledge that passenger data may be shared with Operators, FBOs, ground handlers, payment processors, and authorities as needed to perform the Booking and comply with law.

17. Sanctions and prohibited use

You represent that you and all Passengers are not subject to applicable sanctions and will not use services for unlawful purposes, including money laundering, sanctions evasion, or trafficking. We may cancel without liability where required by law or risk policy.

18. Third-party services

Ground transport, hotels, concierge, payment gateways, and similar services may be provided by third parties under their own terms. PCX is not responsible for third-party performance except as required by mandatory law.

19. Changes to these Terms

We may update these Terms from time to time. The version date above applies. Material changes will be posted on the Platform. Continued use after posting constitutes acceptance, except where mandatory law requires express consent. Bookings already confirmed remain subject to the Terms and confirmation in force at confirmation time, unless both parties agree otherwise.

20. Governing law and disputes

These Terms and any dispute arising out of them or any Booking are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Exclusive venue for disputes lies in the state or federal courts located in Miami-Dade County, Florida, unless mandatory consumer law provides otherwise. You and PCX waive jury trial to the extent permitted by law. Nothing prevents either party from seeking interim injunctive relief where appropriate.

21. Severability and entire agreement

If any provision is held unenforceable, the remainder stays in effect. These Terms, the Booking confirmation, and any expressly incorporated Operator documents form the entire agreement regarding the subject matter and supersede prior conflicting discussions, except for fraud. No waiver is effective unless in writing.
